I. Introduction

Membership: A Membership is a paid subscription to our platform that grants users access to exclusive resources, tools, news, and more, subject to the terms of the subscription.
Payment Methods: Payment Methods refers to the acceptable forms of payment on our platform, which includes, but is not limited to, American Express, Mastercard, Visa, Discover, Diners, facilitated by Stripe.
Stripe: Stripe is a third-party service provider that we use to manage credit card processing and other related transactions.
ChatGPT: ChatGPT is a third-party AI service provided by OpenAI, which we utilize within our platform to deliver certain features and functionalities.
Stable Diffusion: Stable Diffusion is another third-party AI service provider that we utilize within our platform to deliver certain features and functionalities.
DALL-E: DALL-E is a third-party AI service by OpenAI that creates images from textual descriptions. We utilize DALL-E within our platform to enhance the features and functionalities of our services.
AI Services: AI Services refers to the use of third-party artificial intelligence services including, but not limited to, ChatGPT, Stable Diffusion, and other potential AI APIs for enhancing the features and functionalities of our platform.

II. Account Creation & Requirements

A. Registration Process

Account Registration: To access and use certain features of the Platform, such as purchasing courses or memberships, users must register for an account by completing registration. This involves providing certain personal information, including but not limited to, a valid email address and creating a password.
Accuracy of Information: Users acknowledge that all information provided during the registration process must be accurate, current, and complete. Users agree to update their information as necessary to maintain its accuracy. Misrepresentation of identity or provision of false information during the account registration process may lead to account suspension or termination.

B. Account Responsibility

User Responsibility: Users are solely responsible for all activities that occur under their account, regardless of whether the activities are undertaken by the user or a third party. Any misuse of the user’s account will be the user’s responsibility.
Security of Account: Users are responsible for maintaining the confidentiality of their account login information, including their username and password. Users must take all necessary steps to protect their account information and to keep it secure. In the event of any unauthorized access to or use of their account, users are required to notify us immediately.

C. Age Restriction

Minimum Age: Users must be at least 18 years of age to create an account on our Platform and use our Services. By creating an account and using our Services, users affirm that they are at least 18 years old.
Verification: We reserve the right to verify the age of any user at any time. Accounts that have been created by someone under the age of 18 will be closed.
Responsibility: Users are responsible for ensuring that they meet the age requirements and all other eligibility criteria mentioned in these Terms. If it comes to our attention that a user is under the age of 18 and they have provided us with personal information, we will take steps to remove such information and terminate the user’s account.

A. Description of Courses and Membership Access

Course Purchases: Upon the purchase of any course on our platform, users will be granted access to the specified course material. This may include, but is not limited to, video content, written material, quizzes, and interactive elements.
Membership Subscriptions: A paid membership subscription provides users with premium access to our platform. This includes, but is not limited to, news, tools, and additional resources. Subscriptions are valid as long as the user’s membership is active and not suspended or cancelled.

B. Accessibility and Availability of Services

Service Availability: We strive to ensure that our platform is available 24/7; however, there may be instances where the website will be temporarily unavailable due to maintenance or technical issues. In such cases, we will strive to rectify the issue promptly but are not liable for any loss incurred due to this downtime.
Accessibility: We are committed to ensuring that our platform is accessible to all our users. However, due to the nature of the internet, we cannot guarantee that our services will be available or function properly in every country or location. Some services may not be available in certain jurisdictions due to legal or technical restrictions.

IV. Payment Terms

A. Payment Methods

Stripe: We use Stripe as our payment processing platform. Stripe accepts multiple forms of payment including, but not limited to, American Express, Mastercard, Visa, Discover, and Diners Club.

B. Security of Payment Information

Secure Payment Processing: All payments on our platform are processed securely through Stripe, a third-party payment processing platform known for its robust security protocols.
Stripe and Your Credit Card Information: Stripe handles all aspects of the payment process, including data collection and data processing. It securely stores your credit card information on your behalf, ensuring that your financial data is safeguarded using advanced security measures.
Non-storage of Credit Card Information on Our Servers: We emphasize that we do not store your credit card information on our servers.
Subscription Information: When you subscribe to our services, we do store your user information such as your name, email address, and details of the services to which you’ve subscribed. This is necessary for account management, service delivery, and improving user experience.

C. Pricing Information

Pricing and Currency: All prices are displayed in the selected currency. The total price for purchases or subscriptions will be displayed before finalizing the transaction.
Pricing Changes: We reserve the right to modify the pricing for our courses or membership subscriptions at any time. Any changes will not affect purchases or subscriptions made prior to the date of the change.

D. No Refunds Policy

All sales are final: Given the nature of digital content and services, we do not offer refunds for any course purchases or membership subscriptions. By purchasing a course or subscribing to a membership, you acknowledge and agree to this policy.
Cancellations: You can cancel your membership subscription at any time. Upon cancellation, you will have access to your subscribed content until the end of your current billing cycle, after which your access will be revoked. No refund will be issued for the remaining days of the current billing cycle.

V. Membership Terms

A. Membership Duration

Term of Membership: Your membership starts on the date of purchase and continues on a recurring basis until you choose to cancel.
Subscription Cycle: The length of your membership subscription is one month, and it automatically renews at the end of each subscription cycle.

B. Cancellation Policy

Right to Cancel: You have the right to cancel your membership subscription at any time. Please note, however, that all cancellations are effective at the end of your current billing cycle. Access to member benefits and content will be available until the end of your current billing period.
No Refunds: As per our No Refunds Policy stated under Payment Terms, we do not offer refunds for any unused portion of your membership period.

C. Automatic Renewals

Recurring Billing: By purchasing a membership subscription, you agree and acknowledge that your subscription has an initial and recurring payment charge at the then-current subscription rate, and you accept responsibility for all recurring charges prior to cancellation.
Automatic Renewal: Your membership subscription will automatically renew at the end of each billing cycle unless and until you cancel your subscription or the membership is otherwise suspended or discontinued by us. Your account will be charged for renewal within 24 hours prior to the end of the current period.
Subscription Changes: If we change the terms of your subscription, including pricing, we will give you notice of these changes in advance. Such changes will only apply for subscription renewals after the date of the change.

VI. Use of the Services

A. Acceptable Use

Personal Use: Our services are intended for personal, non-commercial use. They are to be used for educational purposes.
Compliance with Laws: Users must comply with all applicable local, state, national, and international laws and regulations.
ChatGPT API Usage: Our services utilize the ChatGPT API. As such, users must also comply with the ChatGPT terms of service, which are available on the ChatGPT website.

B. Prohibited Conduct

Misuse of Services: You may not use the services in a way that is harmful, illegal, obscene, threatening, or defamatory, or in any other inappropriate manner.
Unauthorized Access: You are prohibited from accessing, retrieving, or indexing any part of our services for any unauthorized purpose, including creating or compiling, directly or indirectly, a collection, compilation, or database.
Hacking and Circumvention: You must not attempt to interfere with the proper working of the services, compromise their system integrity or security, or decipher any transmissions to or from the servers running the services. You must not take any action that imposes an unreasonable load on our infrastructure or our third-party providers.

VII. Third Party Services

A. Third-Party Payments (Stripe)

Use of Third-Party Payment Processor: All financial transactions on our platform are processed through Stripe, a third-party payment processing service. By purchasing our courses or memberships, you agree to adhere to Stripe’s terms of service and privacy policy.
Payment Information Security: While we use Stripe for payment processing, we do not store your credit card information on our servers. However, we do store some information like your name and email address for account purposes.

B. Third-Party AI Services (ChatGPT)

Usage of ChatGPT: Our services include access to ChatGPT, an AI language model developed by OpenAI. ChatGPT usage is bound by OpenAI’s use case policy. We strongly recommend users to read and understand these terms and privacy policy
Limitations and Compliance: The use of ChatGPT as part of our services does not constitute an endorsement or guarantee of the accuracy, reliability, or quality of the outputs generated by ChatGPT. Users should comply with the acceptable use policy as provided by OpenAI.
Stable Diffusion: We use Stable Diffusion as part of our services. Users should refer to Stable Diffusion’s terms and conditions for their policies and stipulations.
DALL-E: We use DALL-E as part of our services. Users should refer to DALL-E’s terms and conditions for their policies and stipulations.
Other AI Services: We may use other third-party AI services to enhance the user experience and functionalities of our platform. Users are advised to refer to the respective third-party AI service provider’s terms and conditions for their specific policies and stipulations.

VIII. User Privacy and Data Protection

Platform Content: All materials displayed or performed on the platform including, but not limited to text, graphics, logos, tools, photographs, images, illustrations, software or source code, audio and video, and animations (the “Platform Content”) are the property of ChatGPT Labs and/or third parties.
Copyright Protection: The Platform Content is protected by copyright. Unauthorized use of such content may violate copyright, trademark, and other laws.
Ownership Assertion: You acknowledge that ChatGPT Labs owns all right, title, and interest in and to the service and all proprietary rights associated therewith.

B. Restrictions on Use of Platform Content

Unauthorized Use: Users are strictly prohibited from engaging in unauthorized use, duplication, reproduction, sale, or redistribution of the platform’s content. This includes any form of repurposing, modifying, or creating derivative works from our materials, without express written consent from us.
Enforcement: We reserve the right to take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the platform or breach of these Terms of Service. In addition, we reserve the right to take any necessary legal action to protect and enforce our intellectual property rights, our platform, and our users.
No License Granted: Except for allowing you to use the services for your personal use as set forth in the terms, when you use the services, you are not receiving a license or any other rights from us, including intellectual property or other proprietary rights of ChatGPT Labs.

X. Limitation of Liability

A. Extent of Liability: Our liability to you for any damages arising from or related to these Terms of Service (for any cause whatsoever and regardless of the form of the action), will at all times be limited to the greatest extent permitted by law. We will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Platform or any Services obtained through the Platform.

B. Limitations: We will not be liable for any damages, liability or losses arising out of: (i) your use of or reliance on the Services or your inability to access or use the Services; or (ii) any transaction or relationship between you and any third party provider, even if we have been advised of the possibility of such damages. We are not responsible for the actions, content, information, or data of third parties, and you release us, our directors, officers, employees, and agents from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against any such third parties.

XI. Warranty Disclaimer

A. No Warranties: The platform, its content, and its services are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

B. Use at Your Own Risk: Your use of the platform, its content, and any services or items obtained through the platform is at your own risk. We make no warranties or representations about the accuracy or completeness of the platform’s content or the content of any websites linked to the platform.

C. Technological Issues: We do not warrant that the platform will operate error-free, that loss of data will not occur, or that the services software or site are free of computer viruses, contaminants or other harmful items.

XVI. Indemnification

A. User’s Indemnity Obligations: Users agree to indemnify, defend, and hold harmless our Platform, and its affiliates, officers, directors, employees, contractors, suppliers, representatives, and agents, from and against any claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorney’s fees and costs) that such parties may incur as a result of or arising from (1) any information (including, without limitation, your User Content, feedback, or any other content) you (or anyone using your account) submit, post, or transmit on or through our Platform; (2) your (or anyone using your account’s) use of our Platform; (3) your (or anyone using your account’s) violation of these Terms; or (4) your (or anyone using your account’s) violation of any rights of any other person or entity.

B. Cooperation with Indemnification: Users agree to cooperate fully in the defense of any claim asserted by us as part of their indemnity obligations. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by users, who shall not in any event settle any claim or matter without the written consent of our platform.

XVII. Termination of Accounts

A. Termination by Platform: We reserve the right to suspend or terminate your account and prevent access to the Services for any reason, at our discretion. Such termination or suspension may be without prior notice. We may also change, suspend, or discontinue all or any aspect of the Services at any time without prior notice.

B. Termination by User: Users can terminate their account at any time by navigating to their account settings and following the prompts to delete the account. Please be aware that terminating your account does not entitle you to refunds for any purchases, including memberships, and you will lose access to all content associated with your account.

XVIII. Governing Law and Jurisdiction

A. Governing Law: These Terms of Service and any dispute or claim arising out of or in connection with their subject matter or formation shall be governed by and construed in accordance with the laws of Florida.

B. Jurisdiction: Any legal suit, action, or proceeding arising out of or related to these Terms of Service or the Services shall be instituted exclusively in the federal courts of Florida. You agree to waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

XIX. User Obligations & Responsibilities

A. Ethical and Lawful Use of Services

Lawful Use: You agree to use the services only for lawful purposes, and in ways that do not infringe the rights of, restrict or inhibit anyone else’s use and enjoyment of the services.
Ethical Use: You are expected to use the courses, memberships, tools, and other materials provided through the service ethically and with integrity. Misuse or unethical behavior may lead to termination of your access to the services.
Compliance with Policies: You agree to comply with all applicable ChatGPT Labs policies and with all applicable laws, regulations, and rules related to your use of the services.

B. Reporting Violations

Violations: If you become aware of any violation of these Terms, you agree to immediately report it to ChatGPT Labs by contacting us through our Contact page.
Cooperation with Investigations: You agree to cooperate with ChatGPT Labs and any law enforcement authorities in any investigation of alleged violations.

XX. Dispute Resolution

A. Process for Resolving User Disputes

Initial Contact: If a dispute arises out of or in connection with these Terms or any breach thereof, you should first contact ChatGPT Labs through our Contact page detailing the nature of the dispute.
Negotiation: Both parties (user and ChatGPT Labs) agree to negotiate in good faith to resolve the dispute prior to initiating legal action.
Mediation: If the dispute is not resolved through negotiation, both parties agree to attempt to resolve the dispute through mediation before resorting to litigation or arbitration.

B. Legal Remedies

Legal Action: If the dispute cannot be resolved through negotiation or mediation, you agree that the dispute will be resolved through litigation in the courts of Florida unless both parties agree to alternative dispute resolution.
Injunctive Relief: Notwithstanding the above, ChatGPT Labs may seek injunctive relief if necessary to protect its intellectual property rights or to prevent loss of data or damage to its servers in any court of competent jurisdiction.

XXI. Changes to Terms of Service

A. Procedure for Updating Terms

Periodic Review: ChatGPT Labs reserves the right to review and revise these Terms of Service periodically. This could be due to changes in our services, legal requirements, or for other reasons.
